1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ReferralPods LLC ("we," "our," or "us"). These Terms govern your access to and use of referralpods.com, related mobile interfaces, applications, and networking services (collectively, the "Services").

By creating an account, registering for a pod, or using our Services, you agree to comply with and be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility & Account Security

You must be a legally recognized professional or business owner at least 18 years of age to register an account. You agree to:

• Provide accurate, current, and truthful business information during registration.
• Maintain the confidentiality of your account password and any connected third-party credentials.
• Promptly notify us if you suspect unauthorized access to your account.

3. Pod Membership & Seat Exclusivity

ReferralPods operates on a strict 1-Seat Exclusivity model within each individual pod:

• Category Protection: Once an approved member occupies an industry trade category within an active pod, no competing professional offering the same primary services may join that specific pod.
• Attendance & Participation: Pod members are expected to maintain reasonable attendance at scheduled meetings and uphold the collaborative spirit of reciprocating qualified business introductions.
• Seat Relinquishment: Cancelling your dues subscription or resigning from a pod automatically and immediately vacates your exclusive seat reservation.

4. Membership Dues & Billing (Stripe)

All pod seat dues, founding pledges, and payments are managed securely via Stripe:

• Recurring Billing: Pod trade seat dues are billed on a recurring monthly or annual basis as specified by the pod's published charter.
• Self-Service Cancellation: You may cancel recurring dues at any time via User Settings → Cards, Billing & Subscription or the Stripe Customer Portal. Cancellation takes effect at the end of the current paid billing period.
• Non-Refundable Policy: Dues payments are non-refundable once billed, except where required by law or as expressly authorized by the pod Organizer.

5. Community Directors & Organizers

Members acting as Chapter Directors or Pod Organizers operate independent professional pods:

• Directors are independent contractors and are not employees, agents, or legal partners of ReferralPods LLC.
• Revenue-share disbursements (e.g. 50/50 splits) are processed automatically through Stripe Connect Express and are subject to Stripe verification and applicable tax reporting.

6. Acceptable Use Policy

You agree not to misuse the Services. Prohibited activities include:

• Scraping, automated data harvesting, or mass unsolicited commercial spamming of fellow members.
• Misrepresenting your professional licenses, trade qualifications, or business affiliations.
• Attempting to bypass security mechanisms, reverse-engineer proprietary algorithms, or interfere with platform operations.

7. Disclaimers & Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. ReferralPods LLC does not guarantee specific revenue outcomes, deal closures, or referral volume resulting from pod participation.

To the fullest extent permitted by law, ReferralPods LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or transactions between independent pod members.

8. Termination & Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent conduct, or compromise platform integrity. You may terminate your account at any time by vacating your seats and submitting an account closure request.
